Board Independence

The Board maintains a high level of independence, which is fundamental to the proper discharge of its fiduciary duties and its ability to provide objective judgment on matters concerning the Group.

The Board comprises 4 Independent Directors and 2 Executive Directors, ensuring that Independent Directors form a majority of the Board.

This composition supports robust deliberation and balanced decision-making in the interests of the Company and its shareholders as a whole. In addition, all Board Committees are comprised entirely of Independent Directors, further strengthening the Board’s independence and oversight functions, particularly in areas such as audit, risk management, remuneration, nominations and governance matters.


Lead Independent Director

The Lead Independent Director is Mr. Christopher Huang Junli.

Mr. Christopher Huang Junli was appointed Lead Independent Director on 1 May 2025.

Mr. Huang is the Managing Director of CHP Law LLC, where he advises on legal and tax matters related to cross-border commercial transactions, including transfer pricing. Mr. Huang holds a dual degree in Law (LL.B.) and Commerce (B.Com) from the University of Queensland, Australia.
